ARTICLE II The Piedmont Regional Education Program (PREP) shall be constituted of those school divisions in Planning District 10 and other school divisions as approved by the Joint Board of Control which choose to cooperate in the development and delivery of special education programs and other appropriate education services. ARTICLE III The Piedmont Regional Education Program (PREP) shall be governed by a Joint Board consisting of a representative from each school board of each participating school division. An alternate school board member from each local school district shall be elected and will serve as a voting member in the absence of the original school board member. ARTICLE IV The Joint Board annually shall elect from its members a chairman who shall preside at all meetings and a vice-chairman who shall preside in the absence of the chairman. A secretary shall be appointed to keep minutes of each Joint Board meeting. Each elected officer shall serve a term of office up to one (1) year or until the Joint Board is officially reorganized each year. An officer may be elected to a total of two (2) consecutive terms of the same office. ARTICLE V The Joint Board annually shall appoint an executive director, not a voting member, who shall be responsible to carry out the executive functions of the Joint Board and who shall supervise the Piedmont Regional Education Program (PREP). The Joint Board shall determine annually the compensation for the Executive Director. ARTICLE VI The Joint Board shall be responsible to establish policy and to make decisions related to the operation of programs and services provided by the Piedmont Regional Education Program (PREP) in accordance with regulations established by the (STATE) Board of Education and laws. ARTICLE VII The division superintendents representing the counties or cities of the school boards which form the Joint Board may constitute a Committee of Superintendents and may jointly exercise the same authority that they have in the counties or cities for which they are appointed. With the approval of their respective school boards, such division superintendents may elect one of their members as executive officer in whom may be vested such authority as the superintendents may from time to time find advisable. ARTICLE VIII Section a. The Joint Board shall be responsible to plan an annual budget with the assistance of the Executive Director and the Committee of Superintendents for the Piedmont Regional Education Program (PREP). The Joint Board shall review annual budget recommendations by January 31. Upon approval by the Joint Board, the annual budget shall be submitted to each school board for approval of that school division’s share of the estimated cost. Section b. If a school board shall reduce or withhold its designated share of cost of services, those services shall be reduced in proportionate amount. Other school boards may reduce in the same proportion the amount to be included in their annual budgets by them, and shared services for those school divisions shall be reduced accordingly. Section c. No later than January 1 of each year, any school board shall serve notice to the Joint Board that it is considering withdrawal and/or termination of its participation in the Piedmont Regional Education Program (PREP) for the following school year. No later than January 31 said school board shall serve notice of intention to terminate participation the following school year. Section d. School boards which do not participate in the governance of the Piedmont Regional Education Program (PREP) may purchase services from PREP on application to the Joint Board at a rate established by the Joint Board. ARTICLE IX The Joint Board shall elect by majority vote a participating school division to be the fiscal agent for the Piedmont Regional Education Program (PREP). The fiscal agent shall review and administer the PREP budget to assure that funds are available to support the budget. The Joint Board may direct the Executive Director to authorize approval of warrants and claims against the Piedmont Regional Education Program (PREP) in accordance with the approved budget, submitting such actions from time to time to the Joint Board for review and approval. Responsibilities or liabilities of the fiscal agent are limited to receipt and disbursement of funds as received from the Piedmont Regional Education Program (PREP) in accordance with the annual budget as directed by the Joint Board (except for costs related to the fiscal agent’s participation in program services). ARTICLE X The Joint Board shall employ personnel upon the recommendation of the Executive Director. In the absence of personnel policies, the personnel policies of the fiscal agent shall apply and be binding upon the Joint Board. ARTICLE XI The Joint Board may appoint a Regional Advisory Committee with equal community representation from each of the participating school divisions. ARTICLE XII The Joint Board shall meet no fewer than two (2) times per year. Additional meetings may be called by the Chairman, Executive Director or by request of two (2) or more Board members to the Executive Director. ARTICLE XIII Article XIII is amended to read “Representation from fifty percent (50%) of the members from the school divisions of the Joint Board of Control shall constitute a quorum.” A majority vote shall be required for passage of any motion. If at any time the number of members of the Joint Board shall fall below a quorum and the appointing school board or boards shall fail within 30 days to appoint enough members to constitute a quorum, the members already serving, even though they fail to constitute a quorum, may make any decision which the entire Joint Board may make. ARTICLE XIV The Executive Director shall submit to the Joint Board annually a report and review of services delivered and related costs for the Piedmont Regional Education Program. ARTICLE XV By-Laws of the Piedmont Regional Education Program (PREP) may be added, amended, or deleted upon a majority vote of the Joint Board with approval of the participating school boards.
